The Board of Directors of Embracer Group AB ("Embracer") has, in accordance with the notice to the Extraordinary General Meeting announced by Embracer on 4 December 2024, proposed that an Extraordinary General Meeting on 7 January 2025 resolves to distribute all of the shares in Asmodee Group AB ("Asmodee") to the shareholders of Embracer. An information brochure regarding the proposed distribution and the planned listing of Asmodee's class B shares on Nasdaq Stockholm has today been published and made available on Embracer's website in both English and Swedish.
The information brochure contains, inter alia, background and reasons for the proposed distribution, a description of Asmodee's operations and selected historical financial information for both Embracer (excluding Asmodee) and Asmodee.
As previously communicated, Asmodee intends to apply for admission to trading of the company's class B shares on Nasdaq Stockholm, which is expected to be completed no later than 31 March 2025. A prospectus, which will inter alia contain information about Asmodee and the risks associated with an investment in Asmodee's shares, will be published by Asmodee prior to the first day of trading. The prospectus will be available on Embracer's and Asmodee's respective websites.
